Términos y Condiciones de los Servicios

Estos términos y condiciones (en adelante, "Términos") establecen los términos y condiciones para la compra de servicios proporcionados por Morph International Logistics S. de R.L. de C.V. (en adelante, "Morph International Logistics") y su división legal denominada Rodríguez & Asociados (en adelante, "Rodríguez & Asociados"). Al adquirir servicios de defensa legal de Rodríguez & Asociados y servicios adicionales de Morph International Logistics, usted (en adelante, "el Cliente") acepta y se compromete a cumplir con estos Términos. Por favor, lea detenidamente los siguientes términos y condiciones:

1. Contratación de los Servicios:
a. El Cliente puede contratar los siguientes servicios proporcionados por Morph International Logistics: Servicios de Defensa Legal, Servicios de Logística y Transporte, Importaciones, Asesorías Fiscales y Contables, y Servicios de Contabilidad para Personas Morales y Personas Físicas con Actividad Empresarial.
b. Cada servicio se contratará mediante un acuerdo de servicios por separado que establecerá los detalles específicos del servicio y los honorarios correspondientes.

2. Naturaleza de los Servicios:
a. Morph International Logistics proporcionará los servicios de logística y transporte, importaciones, asesorías fiscales y contables, y servicios de contabilidad profesional y competente al Cliente, de acuerdo con los estándares éticos y legales aplicables.
b. La naturaleza exacta de cada servicio, las responsabilidades de las partes y los plazos se establecerán en el acuerdo de servicios mutuamente acordado correspondiente.

3. Honorarios y Pagos:
a. El Cliente se compromete a pagar a Morph International Logistics los honorarios acordados por cada servicio contratado. Los honorarios se establecerán en el acuerdo de servicios y podrán incluir tarifas fijas, honorarios por hora o cualquier otra estructura de tarifas acordada.
b. El Cliente se compromete a realizar los pagos en los plazos acordados. En caso de retraso en los pagos, Morph International Logistics se reserva el derecho de suspender la prestación de servicios hasta que se realice el pago pendiente.

4. Confidencialidad:
a. Tanto Morph International Logistics como Rodríguez & Asociados se comprometen a mantener la confidencialidad de toda la información proporcionada por el Cliente en relación con los servicios prestados, salvo que se requiera la divulgación por ley o para la defensa de los intereses del Cliente.
b. El Cliente también se compromete a mantener la confidencialidad de cualquier información confidencial o privilegiada proporcionada por Morph International Logistics o Rodríguez & Asociados durante la prestación de los servicios.

5. Responsabilidad Limitada:
a. Morph International Logistics y Rodríguez & Asociados ejercerán sus mejores esfuerzos y habilidades para brindar los servicios contratados. Sin embargo, no se garantiza ningún resultado específico en relación con los servicios prestados.
b. En la máxima medida permitida por la ley, Morph International Logistics y Rodríguez & Asociados no serán responsables por cualquier daño directo, indirecto, incidental, especial o consecuente derivado de los servicios prestados.

6. Terminación:

a. Cualquiera de las partes podrá dar por terminado el acuerdo de servicios de forma individual para cada servicio contratado mediante notificación por escrito a la otra parte.
b. En caso de terminación, el Cliente será responsable de pagar los honorarios y gastos incurridos hasta la fecha de terminación por cada servicio específico.
c. Si se da por terminado el acuerdo de servicios de defensa legal proporcionado por Rodríguez & Asociados, esto no afectará la vigencia de los acuerdos de servicios adicionales con Morph International Logistics, y viceversa.
d. En caso de terminación, ambas partes deberán devolverse cualquier propiedad, documentos o información confidencial que se encuentren en su poder.

7. Legislación Aplicable y Jurisdicción:
a. Estos Términos y cualquier disputa relacionada con los servicios contratados se regirán e interpretarán de acuerdo con las leyes del país o estado correspondiente, según sea aplicable.
b. Cualquier disputa o controversia que surja de o en relación con estos Términos o los servicios contratados se someterá a la jurisdicción exclusiva de los tribunales competentes del país o estado correspondiente, según sea aplicable.

8. Modificaciones:
a. Morph International Logistics y Rodríguez & Asociados se reservan el derecho de modificar o enmendar estos Términos en cualquier momento, previa notificación al Cliente.
b. Las modificaciones entrarán en vigencia a partir de la fecha especificada en la notificación. El Cliente tendrá derecho a rechazar las modificaciones notificadas, lo que puede resultar en la terminación de los servicios correspondientes.

Al aceptar estos Términos y al contratar los servicios de defensa legal de Rodríguez & Asociados y los servicios adicionales de Morph International Logistics, el Cliente reconoce y acepta que ha leído, comprendido y aceptado los términos y condiciones establecidos en este documento.
